"en" => "In this article, we identify whether and how European Union consumer protection rules could incorporate more behavioral wisdom. The relevance of behavioral insights to consumer rights is obvious, as consumer protection rules tend to ignore how boundedly rational consumers can be when they make their decisions. The rules are all too often written with a fictional consumer in mind: one who reads labels and checks the terms and conditions. Though the relevance of behavioral insights to consumer protection is universal, the European context exhibits specific features. In Europe, paternalism is rarely seen as a matter of principle. The debate is therefore not whether a behavioral approach can offer minimalist regulatory approaches preserving freedom of choice, or whether it provides evidence that is robust and general enough to justify paternalistic interventions; rather, it is whether and how a more behavioral approach can make EU law more effective and European consumers better off. The focus in this Article is precisely on how behavioral insights are being incorporated and could be incorporated."

"fr" => "Pour être efficace, le droit a besoin d’une représentation aussi exacte que possible des comportements humains. Les sciences cognitives et comportementales offrent à cet égard des enseignements précieux, que le droit gagnerait à intégrer davantage. Dans cet article, nous rendons compte d’un mouvement de recherche qui s’est développé depuis une vingtaine d’années et s’intéresse aux manières d’intégrer les apports des sciences comportementales à l’étude du droit et à l’élaboration des politiques publiques. Nous explicitons dans un premier temps les prémisses de ce champ d’études, avant de discuter l’appellation qui convient le mieux pour le nommer. Nous en dessinons ensuite les contours en décrivant ses objets et questions de recherche. Enfin, nous évoquons ses méthodes. Par cette introduction à l’analyse comportementale du droit, nous adressons aux juristes une invitation à embrasser ce champ de recherches interdisciplinaires encore nouveau en Europe."
"en" => "To be effective, legal rules need to incorporate a representation of human behaviour that is as accurate as possible. In this regard, Behavioural Sciences offer useful insights, which law can helpfully draw on. In this article, we present a scholarly movement which has developed over the past twenty years and provides ways to integrate behavioural insights in legal analysis and policy-making. We first make explicit the premises of behavioural legal analysis. We then discuss how the integrated study of law and behavioural sciences should be named (in French). Next, we define the scope of this interdisciplinary field of study by describing its objects and characteristic research questions. Finally, we give a brief overview of methodological issues. With this introduction to behavioural analysis of law, we hope to draw more European legal researchers into the field."

"fr" => "In this article, we identify a fundamental contradiction in the law of fiduciary duty of corporate directors across jurisdictions, namely the tension between the uniformity of directors’ duties and the heterogeneity of directors themselves. American scholars tend to think of the board as a group of individuals elected by shareholders, even though it is widely acknowledged (and criticized) that the board is often a largely self-perpetuating body whose inside members dominate the selection of their future colleagues and eventual successors. However, this characterization is far from universally true internationally, and it tends to be increasingly less true even in the United States. Directors are often formally or informally selected by specific shareholders (such as a venture capitalist or an important shareholder) or other stakeholders of the corporation (such as creditors or employees), or they are elected to represent specific types of shareholders (e.g. minority investors). The law thus sometimes facilitates the nomination of what has been called “constituency” directors. Once in office, legal rules tend nevertheless to treat directors as a homogeneous group that is expected to pursue a uniform goal. We explore this tension and suggest that it almost seems to rise to the level of hypocrisy: Why do some jurisdictions require employee representatives that are then seemingly not allowed to strongly advocate employee interests? Why can a director representing a specific shareholder not advance this shareholder’s interests on the board?"

"en" => "Our article explores the transplantation of the corporate opportunities doctrine, largely based on the US model, to France and Germany. In Germany, the law historically prohibited officers of the corporation from engaging in competing business activities; the statutory prohibition applied to some but not all corporate opportunities, and also left open some space for the corporate opportunity doctrine to move into. The German version of the doctrine developed gradually over the past fifty years and owes its adoption to a number of academics who studied US law and reinterpreted a number of cases – where it was clear that an officer had violated his duties to the corporation – in light of the newly discovered doctrine. By contrast, it was not until late 2011 that French courts recognized for the first time that a director may not appropriate a corporate opportunity. As the core thesis of the paper, we show that there is a considerable degree of convergence relating to the corporate opportunities doctrine, which has radiated primarily from US law to the two civil law jurisdictions."

"en" => "Since their enactment in 1804 as part of the French civil Code, the provisions relating to contract law had, until recently, remained almost untouched. That is not to say that the law of contract had not altered, but rather that the text of the Code was no longer an accurate reflection of the actual state of the law as interpreted by the courts. An extensively restructured and modernized version came into force on 1st October 2016. In an attempt to map the new French law of contract, this paper first seeks to evaluate the robustness of the guiding principles set out in the Code. By analysing how these principles are applied to the formation, interpretation and enforcement of contracts, the paper concludes that freedom of contract and good faith emerge strengthened by the reforms, while the binding force of contract has become more qualified. The paper also highlights the existence of less obvious but important trends relating to the parties’ behaviour and to the role of the judge. It demonstrates how unilateralism, anticipation, and equity are implicit core ideas lying behind many of the new rules."

The purpose of such regulation is to correct, for the benefit of the potential retail investor, information asymmetries relating to the characteristics of the financial products and the motivations of the intermediary advisor. The devil is in the detail, however, and it has become apparent that disclosing without assessing “how” to disclose may create unexpected and harmful side-effects. For this reason, there is a need for a research agenda centered on the limits deriving from motivation in the use of financial information and in good decision- making. This research design would disentangle connections between financial law and emotions and, in particular, financial law and happiness as well as financial law and altruism."

"en" => "Attempts to describe the behaviors and the group dynamics driving the decision making process of regulators — and, in particular, EU financial regulators — have been sketchy and disappointing, as the minute comparison of different regulatory approaches or the game metaphor, albeit offering useful insights, do not enrich our understanding. Our work uses the rich vocabulary and conceptual frameworks of psychology as it approaches financial regulation in the EU from a socio-psychological perspective. In the context of financial regulation, it emerges that the relational structures of EU bodies and institutions are affected by their constitutional status, membership rules, and the functional relation they perform vis-à-vis the common interest. It is our hope that further investigations will be conducted in what appears to be a new approach to regulation studies."

"en" => "In recent years, international business disputes have increasingly been resolved through private arbitration. The popularity of arbitration makes the questions that will strike any non-lawyer who is introduced to this means of solving dispute more salient: Should we trust an arbitrator whom the opponent party has appointed? Will the member of the arbitration panel we nominated ourselves counterbalance any partiality? The paper shows that although codes and disclosures will achieve less than what institutions aspire to deliver, they set the ground for achieving a level of impartiality. Nonetheless the behavioral science tells us that one should also be aware of unintended adverse consequences that may arise as a result of inappropriate presumptions about the effects of regulation on behavior. The case of moral licensing, showing that disclosure can in some cases backfire to the detriment of those it is intended to help, is one sobering example. In the administration of human affairs judgment is ubiquitous. We trust that this review serves to show that there is a need for the regulation of human judgment and that this should pay close attention to the findings of behavioral science research."

Second, common law bargaining for contracts emphasizes parties’ autonomy, while the civil law was more hospitable to an implied and inchoate loyalty obligation. It first considers tools of analytic philosophy to highlight the notion of COI, and in particular, the connection between COIs, choice and judgment, emphasising why decision making is a central element in the characterisation of COIs. Drawing on these elements, it is clear that any question of regulation and institutional design requires a sophisticated understanding of the capacity of individuals to recognise and resist bias in themselves and others when making judgments and decisions. The chapter then studies two specific mechanisms—bounded rationality and cognitive biases—that affect the behaviour of people in COI situations. It starts by analysing how rationalisation can reframe questionable behaviour as appearing acceptable, and how a sense of invulnerability encourages people to downplay the impact of COIs. The chapter then looks at techniques (policies, procedures, incentives, etc.) used to address COI situations in the light of insights from psychological studies. It concludes that both fiduciary duties and procedural requirements reflect an erroneous understanding of psychology and have led institutions and policies to deal ineffectively—if not indeed counterproductively—with the problems caused by COIs. Finally, the chapter assesses how alternative mechanisms may overcome the highlighted deficiencies. It specifically focuses on the key role that professional norms can play in dealing with unavoidable COIs while preserving trust between the affected parties, and the potential for self-regulation to provide worthwhile tools in combatting the harmful effects of COIs."

Existing regulations have been designed to protect financial consumers and make them better off, but well-meaning interventions may sometimes make consumers worse off as they contain behaviourally blind spots and are mis-calibrated. The behavioural lens shows that the calibration of such regulation is itself delicate: well-meaning regulatory interventions that do not take into account behavioural insights may make consumers worse off. The limited cognitive power of financial consumers and their preference for the present are two large elements of the hidden behavioural iceberg on which traditional regulatory interventions have often crashed, even as behavioural realities are becoming more present in the regulatory conversation. Financial firms are often in a position to exploit behavioural traits, which increases the necessity for regulators to take into consideration behavioural realities. It also strengthens the case for performance-based requirements that put the onus on firms to harness behavioural traits in a manner that is favourable to consumers. Meanwhile, interventions designed to modify the choice architecture can be truly effective under certain conditions. In particular, there is a growing interest in personalised regulatory interventions that take into account individual differences in behaviour and degrees of rationality."

In particular, the European Commission has adopted an Action Plan on Financing Sustainable Growth, which aims at reorienting capital flows towards sustainable investment, and fostering transparency and long-termism. The Action Plan has engendered three Regulations – “Disclosure”, “Benchmark”, and “Taxonomy” – between 2019 and 2021. The new legal framework represents a worthwhile beginning, but it is not yet fully mature."

We compare the evolution of these two sets of rules in several European jurisdictions and in US Delaware law. The chapter begins by comparing the approach to regulating self-dealing and related party transactions under both common law (namely the US and UK) and civil law regimes (focusing on continental Europe). It then turns to the legal development of corporate opportunity rules, and contrasts the approach to corporate opportunities under US law to the less-developed jurisprudence on corporate opportunities in civil law jurisdictions. We note tensions between the evolution of the law governing self-dealing transactions at the European level, and the lack of harmonization on rules addressing corporate opportunities and continuing divergences in corporate opportunities doctrine across EU jurisdictions. We observe a relaxation of the duty of loyalty in US Delaware law, while there is an asymmetric evolution of its two components, self-dealing and corporate opportunities, in the European context. On the one hand, self-dealing rules have existed in European corporate laws for a long time and have been substantially relaxed in Europe in recent times as they have in the US. On the other hand, corporate opportunities rules have been introduced in most European jurisdictions only throughout the last two decades – without an express possibility of a waiver such as the one granted by DGCL s. 122(17). The convergence of self-dealing rules may have been facilitated by the harmonization of EU financial market law, which in turn has not affected corporate opportunities rules. Economic agency theory provides a rationale for a hypothetical convergence of self-dealing and corporate opportunities rules, based on their economic function."
