Abstract
The concept of independence in France and in Anglo-saxon world is not the same. French law cannot admit the legal existence of an independent director. There is no such thing as an “independent director” under French law: either you are a “director” or you are not. Differences between cutures, management practices and issues are relevant and must not be neglected when it comes to importing a management model.
