Abstract
A comparison of national company and financial rules show a convergence of the material contents of national regulation. Relating to take over bids the fallout of the 13th directive musn’t occult European progress in these matters. The dichotomy between the Anglo-Saxon approach and the ‘Rhineland’-way of governing a company is becoming a caricature. Study of the rules and of the recent jurisprudence shows that the public offer’s logic is accepted to follow the pressures of the market.
