Abstract
This article tries to prove that the term of independent direction means different things in different countries. The independent director is not a legal reality in France, as it is the case in the United States. Based on current French law, it is merely a misleading gimmick. The subordination of the Latin countries to the Anglo-saxor world generates an apparent but false uniformity.
