L'administrateur indépendant en France : un mythe ? ou : un exemple des dangers de l'uniformité en matière de "corporate governance"

This article tries to prove that the term of independent direction means different things in different countries. The independent director is not a legal reality in France, as it is the case in the United States. Based on current French law, it is merely a misleading gimmick. The subordination of the Latin countries to the Anglo-saxor world generates an apparent but false uniformity.
