Abstract
An analyze of the consequences of the application of corporate’s governance principles during a take over bid, in Members States of the European union. Corporate governance principles are inspiring EEC company law, on the special topic of take over bids, crucial event for companies, these principles composed the ground of the proposal. Requirements on three topics: of transparency, rules on shareholder’s protection and duty of neutrality of management. On the question “what is the mission of the management?” the European Commission adopts a definition which denies legitimacy to others models, that is not a good way to achieve its objectives.
